A new Companies Consolidation Act is currently being compiled. This will consolidate all legislation enacted from 1963 to 2009 into one large Act, while hopefully simplifying the legislation, particularly as it pertains to small companies. At present, every company must have at least two directors, but the new legislation with permit small companies to have just one director, with AGMs no longer needed in such cases. The current memorandum and articles of association will be replaced by a simpler form of company charter. We can assist company directors to comply with their duties by:
- Assisting with the drafting of minutes of meetings;
- Maintaining the company statutory registers;
- Preparing and filing the annual return by the Annual Return Date;
- Advising as to the legality or otherwise of proposed transactions, such as transactions between companies and their directors
